Share Buyback 2023/2024

 

On 7 December 2023, the management board of TeamViewer SE resolved on a new share buyback program with a volume of up to EUR 150 million (without ancillary costs). The program follows the EUR 150 million share buyback program that was completed successfully on 30 November 2023.

The buyback started on 13 December 2023. TeamViewer SE announced the terms and conditions of the program prior to the start on 12 December 2023 in accordance with Art. 5 para. 1 lit. a) of Regulation (EU) No 596/2014 and Art. 2 para. 1 of Delegated Regulation (EU) No 2016/1052 and an amendment thereto on 2 August 2024.

TeamViewer reserves the right to suspend or discontinue the share buyback at any time.

Share Buyback 2023

 

On 6 February 2023, the management board of TeamViewer resolved on a share buyback program (SBB 2023) with a volume of up to EUR 150 million.

The SBB 2023 will be TeamViewer’s second share buyback program as a listed company after the successful completion of a EUR 300 million buyback in 2022. The buyback, which is scheduled for completion in 2023, will be conducted in two independent tranches via the stock exchange. The first tranche with a volume of up to EUR 75 million started on 15 February 2023 and was successfully completed on 15 June 2023. In total 5,078,064 shares were purchased within the first tranche.

The second tranche of the SBB 2023 with a volume of up to EUR 75 million (but not exceeding 16,174,203 shares) started on 20 June 2023. TeamViewer announced the terms of the second tranche prior to its start on 19 June 2023 in accordance with art. 5 para. 1 lit. a) of the Regulation (EU) no. 596/2014 and art. 2 para. 1 of the Delegated Regulation (EU) no. 2016/1052.

Share Buyback 2022

 

On February 2, 2022, the management board of TeamViewer AG resolved on a share buyback program with a volume of up to EUR 300 million.

TeamViewer AG announced the terms of this program prior to its start on February 3, 2022 in accordance with art. 5 para. 1 lit. a) of the Regulation (EU) no. 596/2014 and art. 2 para. 1 of the Delegated Regulation (EU) no. 2016/1052, and a change thereto on 3 August 2022.

The share buyback program was completed on September 26, 2022. During the period from February 3, 2022 until and including September 26, 2022, a number of 24,093,675 shares were acquired by TeamViewer AG under the program, representing approximately 12.9% of the registered share capital of the company (calculated on the basis of the current share capital of EUR 186,515,856.00). TeamViewer AG had redeemed 14,555,075 of the own shares repurchased under the share buyback program prior to 17 May 2022 and decreased the share capital accordingly from EUR 201,070,931.00 to EUR 186,515,856.00 with effect as of 13 June 2022. Upon completion of the program, TeamViewer AG therefore holds a total of 9,538,600 own shares, representing 5.11% of its share capital.
